Terms of Service

These Terms of Service ("Terms") are an agreement between you and Niru Labs LLC, a Texas limited liability company ("Niru," "we," "us"), governing your use of the Niru websites (getniru.com, niru.fit), the Niru mobile applications, the coach console, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Niru is — and is not

Niru is software: tools for nutrition logging, training planning and logging, progress tracking, and coach-client collaboration.

  • Niru is not a medical service. Nothing in the Service is medical advice, diagnosis, or treatment. Consult a physician before beginning any nutrition or exercise program, and stop and seek medical attention if you experience pain, dizziness, or other concerning symptoms. Do not use the Service to manage a medical condition.
  • AI outputs are estimates and drafts. The Service uses artificial intelligence to estimate nutrition values, draft targets, and organize information. Estimates can be wrong. All AI outputs are proposals for you (or your coach) to review, accept, edit, or reject — they are never instructions.
  • Coaches are independent. Coaches who use Niru to work with their clients are independent professionals, not employees or agents of Niru. Niru does not supervise, endorse, or guarantee any coach's services, qualifications, or results. Your relationship with a coach — including fees you pay a coach — is between you and that coach unless expressly stated otherwise in writing by Niru.

2. Eligibility

You must be at least 13 years old to create an account. If you are under 18, you may use the Service only with the permission of a parent or guardian, who agrees to these Terms on your behalf. By using the Service you represent that you meet these requirements.

3. Accounts

You are responsible for your account credentials and for activity under your account. Provide accurate information and keep it current. Notify us promptly of any unauthorized use.

4. Subscriptions, billing, and seats

  • Payments for coach subscriptions are processed by Stripe. Niru Pro, bought in the iOS app, is processed by Apple. We do not store full card numbers on our servers.
  • Coach subscriptions bill monthly or annually, as presented at checkout. Promotional lifetime rates (e.g., founding or charter pricing) remain in effect for as long as the subscription remains continuously active; a canceled promotional seat does not restore, and promotional seat counts are limited and allocated in order of claim.
  • Niru Pro (in-app subscription). Pro is sold as an auto-renewing subscription through Apple's App Store, at the price shown in the app when you buy. Where a free trial is offered, it becomes a paid subscription when the trial ends unless you cancel at least 24 hours before the end of the trial. Billing, renewal, cancellation and refunds for App Store purchases are handled by Apple under Apple's terms; manage or cancel Pro in your App Store account settings.
  • Delayed first charge. Where offered, you may claim a seat by placing a card on file with the first charge occurring on a stated future date (not more than 30 days after claim). Cancel before that date and you pay nothing, and the seat is released.
  • Cancellation. You may cancel any subscription at any time; cancellation takes effect at the end of the current billing period. Except where required by law or expressly stated, fees are non-refundable; we may issue refunds at our discretion (for example, for verified billing errors).
  • Price changes never affect an active lifetime-rate seat. Other pricing may change with notice before your next renewal.
  • Free tiers and usage allowances (for example, monthly AI-estimate allowances) are described in the app and may be adjusted with notice.

5. Beta software

Portions of the Service may be distributed through TestFlight or otherwise labeled beta. Beta software may contain errors and may change or end at any time. Apple's TestFlight terms also apply to TestFlight builds.

6. Your content and your data

  • You retain ownership of the content and data you submit (logs, photos, notes, programs).
  • You grant Niru a limited license to host, process, display, and transmit that content as needed to operate and improve the Service — including processing through third-party AI providers to generate the estimates and drafts you request.
  • Export: you can export your data at any time from the app — a complete copy, delivered as a download link — or ask us at support@getniru.com.
  • Deletion: deleting your account deletes your personal data as described in the Privacy Policy.
  • Coach-visible data is governed by the sharing model described in the Privacy Policy.

7. Acceptable use

Do not: break the law; infringe others' rights; upload malicious code; probe, scrape, or disrupt the Service; misrepresent your identity; resell or white-label the Service without written agreement; use another user's data outside the Service; or attempt to circumvent usage limits or security. We may suspend or terminate accounts that violate these Terms.

8. Niru's intellectual property

The Service — including software, design, text, verified databases, and trademarks (including "Niru" and the Niru mark) — is owned by Niru Labs LLC or its licensors. These Terms grant you a limited, revocable, non-transferable right to use the Service; they transfer no ownership. Portions of nutrition data derive from public and third-party sources; attributions appear in the app where applicable.

9. Third-party services

The Service depends on third parties (for example: Apple, Stripe, RevenueCat, hosting providers, AI providers, data sources). We are not responsible for third-party services, and their terms apply to your use of them.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIRU DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ESTIMATES ARE ACCURATE, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY RESULT WILL BE ACHIEVED.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIRU AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID NIRU IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) USD $100. Some jurisdictions do not allow certain limitations; these apply to the fullest extent permitted.

12. Indemnity

You will indemnify and hold Niru harmless from claims arising out of your content, your use of the Service in violation of these Terms, or your violation of law or third-party rights.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, risk to the Service or other users, or discontinuation of the Service, with notice where practicable. Sections that by their nature survive (6, 8, 10–12, 14) survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflicts rules. Exclusive venue for disputes is the state and federal courts located in Harris County, Texas, and each party consents to personal jurisdiction there.

15. Changes to these Terms

We may update these Terms; material changes will be notified in-app or by email, and continued use after the effective date constitutes acceptance.
